Terms of Use – The Good Weight

1. Introduction

Welcome to The Good Weight’s digital platform, mobile application and website (the “Application”). The Application is operated by Cratos Healthtech Private Limited, having its registered office at: No. 1, Periyar Salai, D203, 2nd Floor, Perungudi, Chennai – 600096, Tamil Nadu, India.

The terms “You” or “Your” refer to you as the user. The terms “The Good Weight”, “We”, “Us”, “Company”, and “Our” refer to The Good Weight and/or Cratos Healthtech Private Limited, as the context may require. If the Application is being used by a person on your behalf, the expression “You” or “Your” shall also apply to such third party.

In this document, “The Good Weight” includes its affiliate and associate companies, directors, officers, employees, and healthcare professionals. Any person accessing the website and/or availing services offered by The Good Weight through the Application is referred to as a “User”.

These Terms of Use govern your use of The Good Weight Application and website. By using the Application or website, you fully accept and agree to abide by these Terms of Use.

Please review these Terms of Use carefully. These Terms, together with The Good Weight Privacy Policy (as amended from time to time), any additional service-specific terms, and other applicable policies for specific sections of the Application, collectively form the conditions for your access and use of the Application.

By clicking the “I Accept” button or by accessing/using the Application, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use, the Privacy Policy, and any other applicable policies. If you do not agree, please do not access or use the Application.

2. Scope of the Application

The Good Weight is the author and publisher of the Application and all its variants, editions, add-ons, and ancillary products or services (including all files, images, and data contained in or generated by the software).

The Application may be used by Users to:

• Avail health and wellness services; and/or
• Find, access, manage, and organize information including, but not limited to:
  • Personal and non-personal information
  • Doctor / dietitian / health coach / consultant information
  • Appointments, prescriptions
  • Laboratory and diagnostic test information
  • Electronic medical records and reports
  • Billing and payment details
  • Product purchases and order history
  • Inventory and accounting-related details (as applicable)

3. Content on the Application

The Good Weight provides online resources designed to offer information and services related to weight management and metabolic health, including:

• Personalized consultations
• Nutritional and lifestyle guidance
• Program and product recommendations

While we strive to provide accurate and up-to-date information, we acknowledge that content on the Application may require periodic updates and corrections.

• The content and advice on the Application are not a substitute for in-person professional medical advice, diagnosis, or treatment.
• Content may include data and information that The Good Weight (directly or through its contractors) has generated or obtained for the Application.
• Content may also be generated or provided by Health Service Providers (HSPs) (doctors, dietitians, health coaches, etc.) and/or by Users through their use of the Application.

You should always consult a qualified healthcare professional for any medical condition or before making decisions about starting, stopping, or modifying any treatment.

4. Services Offered

The Good Weight offers a range of healthcare and related services through its Application, including (but not limited to):

1. Online Coaching / Consultations – Access to professional dietitian, health coaching and doctor tele-consultation services online.

2. Built-in App Features – Reminders and notifications, Secure storage, organization and display of your medical records, including outpatient records, discharge summaries, prescriptions, lab investigations and radiology reports.

3. Prescription Services – Prescriptions for specific medications may be issued by qualified doctors, subject to applicable law and clinical appropriateness.

4. Weight Care Devices / Health Devices – Provision of physical devices or instruments (e.g., weighing scales, blood pressure monitors, glucometers, wearables, etc.) as part of a care kit or program, recommended by The Good Weight to support delivery of its services.

5. Food & Meal-Related Services – Ready-to-cook and/or ready-to-eat items, meal kits or other nutrition products, delivered either by The Good Weight or through third-party providers.

6. Nutraceuticals and Wellness ProductsNutraceutical items, supplements and other wellness products, delivered either by The Good Weight or through third-party providers.

7. E‑Commerce Services – Sale and delivery of meal kits, health devices, supplements, wellness products and other related goods through the Application or via third-party partners.

8. Health Consultation Services (Programs) – Health Consultation Services may include:

   • Diet and nutrition programs
   • Fitness coaching and lifestyle modification programs
   • Educational modules and structured content
   • Online consultations and screening tests

   
   Eligibility & Pre‑conditions:

   • Users opting for Health Consultation Services must generally be at least 18 years old, legally competent and of sound mind.
   • Users are advised not to use Health Consultation Services if they are below 18 or above 65 years of age, or if they have any disqualifying factors as identified in the eligibility form or program screening.
   • The Good Weight is not responsible for any harm or loss if You choose to access Health Consultation Services without meeting the recommended pre-conditions or against medical advice.

   Initial Assessment:

   • Users may be required to undergo an initial medical/health assessment (including history, medications and current health status) before certain video consultations or structured programs are provided.

   Communication Channels:

   • Health Consultation Services may be delivered through multiple channels, including:
     • Call centre helplines, telephones, mobiles
     • Instant messaging / in-app chat
     • Online chat, SMS or text chats
     • Audio and/or video consultations

   The Good Weight will make reasonable efforts to ensure privacy and confidentiality across these services, as described in the Privacy Policy.

9. Other Intimated Services

• Additional services may be introduced, modified, or withdrawn from time to time. Such services, when communicated or displayed on the Application, will also be governed by these Terms and any service-specific terms.
10. AI-Based Food Analysis Disclaimer: Our app uses artificial intelligence (AI), including Google Gemini, to analyze food images and provide estimated nutritional information. The data processed may include food images and user-provided inputs submitted for analysis. AI-generated results are provided for informational purposes only and may not always be accurate. They should not be considered medical, dietary, or professional advice.

5. Service Terms

• Services are non-transferable and are available only to the registered User (unless otherwise explicitly allowed).

• Specific service details, such as:

  • Start dates
  • Duration and validity
  • Scope of inclusions
  • Pricing and payment terms
    will be communicated on the Application and/or at the time You opt-in for such services.

• Prices displayed on the Application or otherwise communicated will be applicable at the time of availing the service.

• Discounts or offers may be provided at the sole discretion of The Good Weight and may be subject to change or withdrawal.

6. Payment, Fees and Taxes

• You acknowledge and agree to fulfil all payment obligations, including subscription fees, consultation fees, program fees, product costs, reasonable out‑of‑pocket expenses and any other fees associated with your use of The Good Weight’s services.

• While The Good Weight aims to provide an upfront estimate, the actual amount may depend on the type, number, scope and duration of the services or products You purchase.

• You are solely responsible for payment of all applicable taxes, statutory charges, compliance, registrations and reporting in relation to your use of the services. The Good Weight is not liable for any taxes except its own income tax.

• Payments may be made online through the designated payment gateway(s) available on the Application.

• The Good Weight currently accepts self-payments only and does not directly deal with insurance companies for claims or reimbursements.

• Third-party payment gateway and banking/financial services are used for processing payments. The Good Weight is not responsible for:

  • Any technical failures or delays in the payment systems;
  • Any loss or damage incurred by Users due to issues with payment gateway providers, banks or other third parties.

• All fees are exclusive of applicable taxes, unless otherwise specified.

• Payment is considered complete only upon actual receipt of the amount in The Good Weight’s designated bank account.

• Periodic invoices or payment confirmations may be generated and communicated via the Application and/or email.

• Payment may be collected immediately upon order/booking, or on a deferred basis, at The Good Weight’s discretion.

• Failure to pay fees within the stipulated time may result in The Good Weight:

  • Suspending or halting service provision;
  • Permanently deleting or limiting access to your account and associated information;
  • Suspending or terminating this Agreement.

You acknowledge that the consequences of non-payment rest solely with You and You will have no claim against The Good Weight for any resulting discontinuation of services.

7. Delivery, Refunds and Cancellations

7.1 Delivery Policy

For services involving appointments:

• Appointments may be scheduled automatically or manually through the Application.
• We will communicate the availability of the relevant Health Service Provider (HSP) at the time of booking.
• If you wish to reschedule, you may select a preferred date and time via the Application, subject to HSP availability.
• While The Good Weight will make reasonable efforts to honour your preference, appointment slots cannot be guaranteed.
• Registered Users are generally permitted a maximum of two reschedules for services that require appointments. Rescheduling windows (e.g. from 1 week to 1 hour prior) will be communicated in the Application or at booking.

For services involving physical delivery (e.g., food/meal kits, nutraceuticals, devices):

• An estimated delivery date or delivery window will be provided at the time of placing your order.
• We typically ship food and nutraceutical products within 1–7 working days, depending on your delivery location and product availability.
• Delivery may be performed by The Good Weight or third-party logistics partners.

7.2 Refund and Cancellation Policy

Food & Nutraceutical Products (and Food/Meal Kits)

• Due to the perishable and consumable nature of such items, no return or refund is applicable once these products are sold, delivered or dispatched, except where required under applicable consumer protection law.

Consultation / Program Services

• For consultation or program services, a 100% refund may be applicable if the service is cancelled before the scheduled service time, subject to the specific cancellation rules shown in the Application for that service.
• Refunds for services generally cover only the service fees and do not include:
  • The cost of any products, foods, devices, nutraceuticals, medications, or lab tests; or
  • Any other incidental expenses incurred by You.

The Good Weight reserves the right to modify refund and cancellation terms at its sole discretion. Any such modifications will be communicated through the Application or via email, and will apply prospectively.

8. Patient Consent & Privacy

• As a User, you may upload or provide personally identifiable health information, including physical, physiological, and mental health conditions, as well as medical records and history. This information may be accessed by The Good Weight and/or HSPs while delivering services to You.

• We may collect various personal and health-related details as you use the Application. By:

  • Clicking the “I Accept” button during registration;
  • Accessing or using the Application; or
  • Otherwise providing your personal information,

  you explicitly consent to our Privacy Policy and agree to the processing of your personal data as described therein.

• The Good Weight is committed to upholding the privacy of your medical and personal information in accordance with applicable Indian law. We employ reasonable safeguards to prevent unauthorized access; however, no system is completely secure. We do not guarantee that our safeguards are foolproof.

• The Good Weight may disclose or transfer your personal information in accordance with applicable law and for the purposes described in The Good Weight Privacy Policy.

9. Emergency Situations

• The services provided via the Application are not a substitute for emergency care delivered at hospitals or emergency centres.
• The Application must not be used if a patient is in a critical, life‑threatening, or unstable condition.

If you believe you are experiencing a medical emergency:

• Call the local emergency number immediately and/or
• Proceed to the nearest hospital or emergency facility without delay.

You should not delay or disregard seeking in-person medical advice based on information on the Application or because of a teleconsultation. Always consult a physician or other qualified healthcare provider for guidance regarding any medical condition or treatment decisions.

10. Representations & Warranties by Users

By using the Application, You represent and warrant that:

1. Age and Legal Capacity

   • You are 18 years of age or older, legally competent and able to enter into a binding contract under Indian law; and
   • Your use of the Application complies with all applicable laws and regulations.

2. Truthful Registration Information

   • All information submitted during registration and throughout your use of the Application is truthful, accurate, and complete; and
   • You will maintain and update such information as necessary.

3. Personal and Non‑Commercial Use

   • You will use the Application and its content exclusively for personal and non‑commercial purposes, unless The Good Weight has expressly agreed otherwise in writing.

11. Data Recording, Storage, Encryption & Usage

• Information on the Application may be provided by You or by HSPs while services are being rendered.

• Data may be stored:

  • On your device;
  • On The Good Weight’s servers within or outside India;
  • On third-party cloud or storage providers’ servers, within or outside India.

• Interactions between Users and HSPs (including video consultations, chats, text messages, audio/video content, prescriptions, and emails) may be recorded, saved, and stored for legitimate purposes, such as:

  • Medical record-keeping
  • Quality control
  • Legal and regulatory compliance

  These records may be produced as evidence if required by a court or competent authority.

• While The Good Weight is not obligated to pre-screen or monitor User Content, it reserves the right to monitor, remove or modify content that it, in its sole discretion, considers in violation of this Agreement or applicable law. We will make reasonable efforts to inform the Registered User if their content is removed.

• User Content is stored on secure infrastructure managed either by The Good Weight or its storage providers, which are required to employ reasonable encryption and security measures. However, The Good Weight is not liable for cyber theft or data breaches beyond what is reasonably within its control.

• The Good Weight will maintain a transaction and purchase history of Users to the extent necessary for services, accounting, legal and operational purposes.

• After conclusion or termination of services, or if a User remains inactive for a period of 3 years, The Good Weight may permanently delete User Content and associated data, unless retention is required by law or a service is renewed.

12. User Responsibilities

Your use of the Application is subject to the following responsibilities:

• Compliance:
  Adhere to these Terms and all applicable laws and regulations.

• Accurate Information:
  Provide complete and accurate information regarding your health, medical history and personal needs.

• Follow Professional Advice:
  Follow the advice and instructions of HSPs, as communicated via the Application or otherwise.

• No Unauthorized Modification:
  Do not delete, alter, or tamper with any content on the Application (including legal notices, disclaimers, or proprietary notices), unless You lawfully own such content or have explicit permission.

• No Reverse Engineering:
  Do not decipher, decompile, reverse engineer, disassemble or otherwise attempt to derive source code or underlying ideas from the Application.

• No Harmful Tools or Interference:
  Do not use any tools, bots, robots, spiders or similar mechanisms that may damage or disrupt the Application or its content.

• Respect IP Rights:
  Do not remove or obscure any copyright, trademark or other proprietary notices on the Application.

• No Harmful or Unlawful Activities:
  Do not use the Application in any unlawful manner or in a way that may harm The Good Weight, other Users, HSPs or any third party. This includes avoiding antisocial or disruptive online behaviours such as “flaming”, “spamming”, “flooding”, “trolling”, “phishing” or “griefing”.

• Content Restrictions:
  Do not host, display, upload, modify, publish, transmit or share content that:

  • Is illegal, harmful, harassing, defamatory, obscene or invasive of privacy;
  • Infringes intellectual property or other rights of any person;
  • Violates any applicable law or regulation.

13. Enforcement, Suspension and Termination

• If The Good Weight reasonably suspects a violation of these Terms or any applicable law, it may take one or more of the following actions, without prior notice and at its sole discretion:

  • Suspend or restrict services or User accounts (temporarily or permanently);
  • Disable or delete content;
  • Raise invoices for services duly rendered;
  • Initiate legal proceedings or report to relevant authorities.

• The Good Weight may, as a precondition to lifting any suspension, require You to remedy or compensate any loss or damage caused to The Good Weight or others.

• Termination or suspension will not affect accrued rights or obligations that arose before such action.

14. Disclaimers

General Disclaimer
The Good Weight disclaims any representation or warranty regarding the security, reliability, quality, timeliness, availability or performance of the Application, its features, HSP information, advice available on the Application, access to or alteration of User or The Good Weight content, transmissions or data, and any other matters related to the Application and/or services.

Inherent Risks of Telehealth and Digital Services
Users acknowledge inherent risks associated with receiving health/medical services over a digital or telehealth platform, including:

• Possible insufficiency of information for appropriate clinical decisions;
• Inability of HSPs to provide in-person treatment or arrange emergency care;
• Delays in evaluation or treatment due to technical issues;
• Potential security failures leading to unauthorized access to confidential information;
• Lack of access to complete medical records, potentially affecting clinical judgment.

Outcome Disclaimer
While many Users may benefit from services provided by The Good Weight and its HSPs, no particular outcome is guaranteed. Results may vary from person to person, and in some cases, conditions may not improve or may worsen. Outcomes depend significantly on User adherence to plans, lifestyle changes, and other factors beyond The Good Weight’s control.

“As Is” Basis
The Application and services are provided on an “as is” and “as available” basis, without any express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement.

Data Security, Communications and Data Loss
The Good Weight assumes no responsibility for:

• The ways in which User personal data is ultimately used by the User or third parties;
• Any failure to send or receive communications, notifications, or reminders;
• Any breach or loss of data (including personal information) due to technical reasons or actions of third parties beyond reasonable control.

Equipment and Access
The Good Weight is not liable for any damages or viruses that may affect your equipment or device as a result of accessing or using the Application. If you are dissatisfied with the Application or any part of the services, your sole remedy is to discontinue use.

15. Limitation of Liability

To the fullest extent permitted by law, The Good Weight, its contractors, agents (including HSPs), affiliates, directors, officers, employees, and content or service providers (collectively, the “Protected Entities”) shall not be liable for any direct, indirect, special, incidental, punitive, exemplary or consequential damages, including but not limited to:

• Loss of business, revenue, profits, data or goodwill,
• Arising out of or related to your use of, or inability to use, the Application, services, or related materials,

whether or not The Good Weight has been advised of the possibility of such damages.

Notwithstanding anything to the contrary, in no event shall the total aggregate liability of the Protected Entities to a User for all claims arising out of or related to these Terms or the User’s use of the Application:

• Exceed INR 5,000 (Indian Rupees Five Thousand only); or
• The amount of payments directly received by The Good Weight from such User for services in the preceding three (3) months,

whichever is higher, and The Good Weight shall not be liable for any loss or damage arising after the expiry of an availed service or program.

This limitation of liability is a fundamental basis of the bargain between You and The Good Weight.

16. Indemnification

You agree to indemnify, defend, and hold harmless The Good Weight, its distributors, agents, representatives, affiliates, HSPs, and their respective officers, directors, owners, employees, and agents, from and against any and all losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Application or services;
• Your breach of these Terms or any other applicable policy;
• Any negligent, fraudulent or intentional misconduct by You.

17. Applicable Law, Jurisdiction and Dispute Resolution

• These Terms and any dispute related to the Application or services shall be governed by and construed in accordance with the laws of India.

• The Parties shall first attempt to resolve disputes amicably through good-faith discussions at an executive level, within 30 days of a written notice of dispute.

• If not resolved amicably, disputes shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended.

  • The seat and venue of arbitration shall be Chennai, India.
  • The proceedings shall be conducted in the English language.
  • The arbitral award shall be final and binding on the Parties.

• Notwithstanding the foregoing, either Party may approach competent courts in Chennai for urgent interim relief.

• The existence and content of arbitration proceedings shall generally be treated as confidential, except as required by law or to protect or pursue a legal right.

18. Miscellaneous

Severability
If any provision of these Terms is held unenforceable by a court or tribunal, that provision shall be severed, and the remainder shall be enforced to the maximum extent permissible, reflecting the Parties’ original intent as closely as possible.

Notices
Notices under these Terms shall be in English and may be sent by email, courier, or hand delivery. Notices to The Good Weight should be sent to:

Notices to You may be sent to the email address you provided at registration.

No Waiver
No term hereof shall be deemed waived, and no breach excused, unless such waiver or consent is in writing and signed by the Party to be bound. Any waiver shall not be deemed a waiver of any other or subsequent breach.

Entire Agreement
These Terms, together with the Privacy Policy and any service-specific terms, constitute the entire agreement between You and The Good Weight regarding the Application and services, and supersede all prior written or oral understandings.

Force Majeure
The Good Weight shall not be liable for any downtime, delay or unavailability caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, civil unrest, strikes, internet failures, government actions, or denial-of-service attacks.

Advertisements
The Good Weight reserves the right to display advertisements and promotional materials (including third-party ads) on the Application.

Assignment
You may not assign or transfer your rights or obligations under these Terms without The Good Weight’s prior written consent. The Good Weight may assign its rights and obligations to an affiliate or in connection with a merger, acquisition or sale of assets.

Order of Precedence
In case of conflict among:

1. Any additional service-specific terms agreed with You;
2. The Good Weight Privacy Policy;
3. These Terms of Use; and
4. Any other policies on the Application;

the above order of precedence shall apply (1 highest, 4 lowest).

Survival
Provisions relating to limitation of liability, indemnity, intellectual property, dispute resolution and any other clauses which by their nature are intended to survive, shall survive termination or expiry of these Terms.

Modifications
The Good Weight reserves the right to modify these Terms at any time. Updated Terms will be posted on the Application and, where required, notified by email or in-app notification. Your continued use of the Application after such changes constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Application.
